(“MGI BV”), 81% stakes with voting rights in Yutaka Giken Co., Ltd. (“YGCL”) and 11% stake in Shinnichi Kogyo Co., Ltd. (“Shinnichi”) (hereinafter referred to as “Transaction”). YGCL is a company duly incorporated and existing under the laws of Japan and was listed on Tokyo Stock Exchange and Shinnichi is a subsidiary of YGCL with 62% ownership held by YGCL. In the afore-mentioned disclosure, the key transaction steps for completion of the acquisition were mentioned which inter-alia included acquisition by MGI BV of 11% stake in Shinnichi from Honda Motor Co., Ltd. (“HMCL”). For achieving the closure of the Transaction, MGI BV has entered into a Share Purchase Agreement with HMCL for purchase of 11% stake in Shinnichi, on July 14, 2026 (“SPA”). Further, MGI BV has remitted the aggregate purchase consideration amounting to JPY 330 million (subject to deduction of applicable taxes), to HMCL and has achieved the closing of the SPA on July 14, 2026.
