Since the Target Company is newly incorporated, its business activity is yet to commence, therefore, its turnover is ‘NIL’.2025-08-21India1. A capex of approx. ₹ 150 Crore is proposed for the said Project which shall be funded by EIE Renewables Private Limited from its internal sources along with the term loan from Banks / Financial Institutions (FIs). 2. The Battery Energy Storage Purchase Agreement (BESPA) for the said project has already been signed with Bihar State Power (Holding) Company Limited (BSPHCL), North Bihar Power Distribution Company Ltd (NBPDCL) & South Bihar Power Distribution Company Ltd (SBPDCL) at a tariff of ₹ 4,44,000/MW/month (Rupees Four Lakh Forty-Four Thousand per Megawatt per month) for 12 years. Further, the project is supported by Viability Gap Funding (VGF) of up to ₹ 27 lakh per MWh, which significantly reduces the upfront capital investment and enhances overall project feasibility. 3. EIE Renewables Private Limited has entered into a Share Purchase and Options Agreement for the acquisition of the remaining 51% equity stake of the Target Company, which will be acquired within 60 days from the Commercial Operation Date (COD) of the project awarded to the Target Company. 4. The Target Company has become the Wholly Owned Subsidiary of EIE Renewables Private Limited and Step Down Wholly Owned Subsidiary of the Company by the virtue of the control acquired under Share Purchase and Options Agreement dated April 21, 2026.
