The mode of acquisition (cash consideration / shares swap) will be determined by the Board of Directors at a later stage, and the same shall be duly communicated to the stock exchange in accordance with applicable regulatory requirements.Transaction ModificationIn continuation to our earlier intimation vide letter no. ZAGGLE/25-26/28 dated June 5, 2025 and pursuant to Regulation 30 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform that the Board of Directors of the Company in its meeting held on May 8, 2026, inter alia, has, considered and approved the modification to the deal structure, whereby instead of acquiring the entire shareholding of Dice Enterprises Private Limited(Dice), the Company proposes to purchase assets from Dice comprising but not limited to Software, Databases / Codebase, Contracts, Intellectual Property, Domain Names along with all related assets in the Spend Management space for a consideration of approx Rs. 67.9 Crores plus taxes, if applicable. The consummation of the proposed transaction shall be subject to the fulfillment of closing actions as identified in Asset Purchase Agreement - Software, Intellectual Property Assignment Agreement and Asset Purchase Agreement- Contracts (APA).
