Private Limited a wholly owned subsidiary of the Company with and into the Company pursuant to the provisions of Section 230 to 232 of the Companies Act 2013 The scheme is subject to the approval of Honble National Company Law Tribunal Chandigarh Bench</in-capmkt:BriefDetailsOfInitialAnnouncement><in-capmkt:ReasonForUpdate contextRef="OneD">Others</in-capmkt:ReasonForUpdate><in-capmkt:OtherUpdates contextRef="OneI">This is in furtherance to our earlier intimation dated 22nd October 2024 and 17th May 2025 pertaining to the Scheme of Amalgamation between Amberpr Technoplast India Private Limited the Wholly Owned Subsidiary of Amber Enterprises India Limited with and into Amber Enterprises India Limited pursuant to the provisions of Section 230 to 232 of the Companies Act 2013
In this regard we would like to inform the exchanges that the Company has received an Order dated 17th April 2026 on 30th April 2026 passed by the Honble National Company Law Tribunal Chandigarh Bench bearing Order No CA CAA No 11 Chd Pb 2026 wherein the Honble Tribunal inter alia directed submission of the Scheme with a revised Appointed Date from 01st April 2025 to 01st April 2026
In this regard in compliance with the directions of the Honble NCLT and to ensure adherence to applicable regulatory requirements the Merger and Amalgamation Committee of the Board of Directors of Amber Enterprises India Limited has approved the change in the Appointed Date of the Scheme from 01st April 2025 to 01st April 2026 in its meeting held on even date that is 30th April 2026
The Company shall take all necessary steps for filing the revised Scheme with the Honble National Company Law Tribunal and shall keep the Stock Exchanges informed of further developments in accordance with applicable laws</in-capmkt:OtherUpdates></xbrli:xbrl>
