1. Transfer of 19% Renaissance FMI Inc (USA) stock from Renaissance Global Limited (RGL) to Renaissance Global Brands Inc (RGBI) (USA) through Share Swap Agreement.

2. Additional investment by Renaissance Global Limited (RGL) in Renaissance Retail Limited (RRL) (India) through Share Purchase Agreement and/or Share Swap Agreement.

3. Transfer of 100% Renaissance Global Brands Inc (RGBL) (USA) stock from Renaissance Global Limited (RGL) to Renaissance Retail Limited (RRL) (India) through Share Purchase Agreement and/or Share Swap Agreement.
