There is no change in the shareholding pattern considering the transaction being slump sale. Note 3: With reference to the expected completion date of the Slump Sale: The Board has approved the draft Business Transfer Agreement at its meeting held on March 17, 2025. The Business Transfer Agreement is likely to be entered into on or before May 15, 2025 with Vesting Date for the said transfer as April 1, 2025. Note 4: JM Financial Services Limited (JMFSL) is a wholly owned subsidiary of the Company, to which the business is being sold. There is no acquisition of entity involved in the present case. Note 5: In reference to the confirmation sought "Whether the same is done at "arms length"? We have selected the drop down as 'Yes' as there is no option to select Not Applicable. Please note that, JMFSL, the buyer being a wholly owned subsidiary of the Company, both are related parties as per Regulation 2(1)(zb) of SEBI Listing Regulations. However, the transaction is being undertaken between holding company and its wholly owned subsidiary, and accordingly there is no impact on a consolidated basis. As per provisions of Section 188 of Companies Act, 2013 and Regulation 23(5)(b) of the SEBI Listing Regulations, provisions relating to related party transactions are not applicable in respect of transactions between holding company and its wholly owned subsidiary, and therefore, the requirement of transaction being at arms’ length is not applicable. Note 6: Under the heading "Date of Special Resolution"- The transaction is not material and hence no special resolution is required for the same. However, since the field being mandatory, we have mentioned the date of Board meeting.
