JPFL Films is Respondent No. 1.The Petition has been filed before the Hon’ble NCLT, New Delhi by the Company, and seeks redressal for grievances regarding alleged acts of oppression and mismanagement concerning the Company, by the Investor. The Company alleges that the Investor has, since March 2024, engaged in a continuing course of oppressive conduct in the affairs of JPFL Films and these actions are alleged to have disrupted JPFL Films’ operations. The matter is currently pending admission before the Hon’ble NCLT, New Delhi. In this regard, the stakeholders are also informed of the following events prior to the Petition: (a) the Company had received a notice of arbitration dated October 16, 2026, issued by the Investor under the arbitration rules of the Singapore International Arbitration Centre, to JPFL Films, as First Respondent, and the Company, as Second Respondent, pursuant to which the Investor has alleged that JPFL Films and the Company breached the provisions of the SHA. The Company disputes the claims. In its response dated October 25, 2026, the Company has objected to, among other things, the jurisdiction of the arbitral tribunal and the arbitrability of the dispute, on the ground that the matters fall within the jurisdiction of the National Company Law Tribunal under Sections 241 and 242 of the Companies Act, 2013. The arbitral tribunal is yet to be constituted; and (b) further, in connection with the notice of arbitration set out in (a) above, the Investor has also filed a petition under Section 9 of the Arbitration and Conciliation Act, 1996 before the High Court of Delhi at New Delhi against JPFL Films, as Respondent No. 1, and the Company, as Respondent No. 2, seeking interim measures in aid of the arbitration. The Company received a copy of the petition on Friday, October 30, 2026. The Company will respond to the petition in due course.Not ascertainable at this stage.
