Each Option, upon vesting and exercise, shall entitle the Option Grantee to acquire one fully paid-up equity share of the Company having a face value of ₹2/- each.true4,01,362 equity shares of face value of ₹2/- each may arise upon exercise of the Options, assuming vesting and exercise of all Options granted. Each Option is convertible into one equity share of the Company.The Options have been granted at an Exercise Price of ₹230/- (Rupees Two Hundred and Thirty only) per Option, as determined by the NRC in accordance with ESOP 2026 and specified in the respective Grant Letters.The Vested Options may be exercised within a maximum period of 5 (five) years from the date of each respective Vesting, or within such shorter period as may be prescribed by the Nomination and Remuneration Committee and specified in the relevant Grant Letter, subject to the terms and conditions of ESOP 2026. In the event of cessation of employment/service or other specified events, the Exercise Period shall be governed by the applicable provisions of ESOP 2026.The Options shall be governed by ESOP 2026, the respective Grant Letters and the SEBI SBEB Regulations, and shall vest subject to the fulfilment of the applicable vesting conditions as approved by the Nomination and Remuneration Committee (“NRC”) and set out in the respective Grant Letters, as accepted by the Option Grantees. The Options shall, in all circumstances, be subject to the applicable minimum vesting period prescribed under ESOP 2026 and applicable law.
