The exercise price of each Option shall be the Market Price of the Share as on the date immediately preceding the relevant date of grant. The exercise price shall, in any event, not be less than the face value of the Shares

Exercise period shall not extend beyond five years from the date of vesting, or such other period as the Committee may determine

Aggregate quantum shall not exceed 45,00,000 (Forty-Five Lakh) options equivalent to same number of the equity shares of face value of Rs. 2/- each, representing approximately 4.70% of the paid-up equity share capital of the Company as on March 31, 2026. The per-Grantee annual limit shall not exceed 3,00,000 (Three Lakh) options, representing approximately 0.31% of the fully paid-up equity share capital of the Company. Eligibility: permanent employees and whole-time Directors of the Company, excluding; Promoters and Persons belonging to the Promoter Group, Independent Directors, Directors holding, directly or indirectly, more than 10% of the outstanding equity shares of the Company and Non-Executive Directors Vesting: Minimum one year from the date of grant, and the maximum shall be extended up to five years. Administration: The Scheme shall be administered and implemented by the Nomination and Remuneration Committee ( acting as a Compensation Committee). Adjustment on corporate actions: The Scheme provides a procedure for making a fair and reasonable adjustment to the entitlement of Grantees, including adjustment to the number of options and the exercise price, in the event of corporate actions i.e. rights issues, bonus issues, mergers, sale of a division and other similar actions.
