The significant terms are as follows: (i) The proposed project relates to the establishment of a Maintenance Training Organization in Andhra Pradesh, involving an estimated investment of approximately ₹20 crore and a land requirement of 5 acres at Orvakal, Kurnool District. (ii) The project is expected to generate approximately 25 direct employment opportunities and 25 indirect employment opportunities in auxiliary industries. (iii) MATPL intends to contribute its strengths in investment, technology, planning, design and equipment for setting up the proposed facility. (iv) APEDB shall facilitate and promote investment in the State of Andhra Pradesh, including assistance in discussions with the Union Government, where required. (v) The actual allotment of land, incentives and other benefits shall be undertaken by the concerned government departments in accordance with applicable policies, rules and regulations and the prescribed process. Where a tender or competitive bidding process is applicable, MATPL shall be required to participate in such process. APEDB shall not be involved in such tender or competitive bidding process and shall not be liable for the same. (vi) The MoU is expressly non-binding and does not vest any legally enforceable rights in either party. (vii) The MoU contains confidentiality and non-disclosure provisions and may be amended by mutual written agreement of the parties. (viii) The MoU does not provide for any special rights relating to the appointment of directors, subscription to shares or restriction on changes in the capital structure of the Company.Melstarr Aviations Tech Private Limited is a wholly owned subsidiary of the Company and is therefore a group company of the listed entity.
