Accordingly, the Exercise Price determined is ₹458/-All vested Options shall be exercisable within a period of 2 (Two) years from the date of vesting of the respective Options.The Plan is administered by the Nomination and Remuneration Committee (NRC). The grant of Options is based upon the eligibility criteria as mentioned in the Panache–ESOP 2025. The granted Options shall vest as per the vesting schedule and vesting conditions, as determined by the NRC at the time of grant. The granted Options once vested shall entitle the Option holder to acquire equal number of Equity Shares, upon payment of exercise price and applicable taxes in accordance with terms and conditions of Panache–ESOP 2025. The equity shares allotted, pursuant to the exercise of the Stock Options, would not be subject to lock-in. The granted ESOPs will vest as per the vesting schedule cited in the grant letter of the employee, as approved by the NRC. The Vested Options may be exercised in one or more tranches within a maximum period of 2 (Two) years from the relevant date of vesting of Options. The terms of the grant of options provides for the manner in which options would be dealt with, in case of death, permanent disability, resignation, termination, retirement etc. In case of any corporate action(s) such as stock split, stock consolidation, rights issue, bonus issue, merger, demerger, amalgamation, sale of division and any other form of corporate restructuring, requisite adjustments (which may include adjustments to the number of options in Panache–ESOP 2025) shall be appropriately made, in a fair and reasonable manner in accordance with Panache–ESOP 2025. ESOP Shares arising on the conversion of the Options shall rank pari passu with all the other equity shares of the Company for the time being in issue, from the date of allotment.Not applicable
