The above standalone unaudited financial results for the quarter ended June 30, 2026 have been prepared by the Company in accordance with Regulation 33 of SEBI (Listing Obligations & Disclosure Requirements) Regulations 2015 (as amended) and were reviewed by the Audit Committee of the Board held on August 12, 2026 and thereafter were approved and taken on record by the Board of Directors in their meeting held on August 12, 2026. <br /> 2. The Statutory Auditors of the Company have carried out a limited review and issued an unmodified conclusion on the above unaudited financial results for the quarter ended June 30, 2026. <br /> 3. As per the directions received from Tamil Nadu Pollution Control Board (TNPCB) on 2nd April 2026, the operations of the Companys Perundurai unit remained suspended, impacting the Company's Revenue and profitability for the quarter ended June 30, 2026. <br /> <br /> The TNPCB has suspended its earlier direction for closure on July 13, 2026 and the operations of the said unit have restarted from the above date. <br /> 4. During the quarter, the Board of Directors and the shareholders of the Holding Company, at their respective meetings held on May 21, 2026 and June 16, 2026, approved the preferential issue of up to 15,00,000 convertible warrants to persons belonging to the Promoter and Promoter Group. Each warrant is convertible into one fully paidup equity share of face value of Rs.10 each at an issue price of Rs.343.03 per warrant, aggregating to Rs. 5,145.45 lakhs. <br /> <br /> The Holding Company allotted 15,00,000 convertible warrants upon receipt of Rs.1,286.36 lakhs, representing 25% of the issue price, on July 27, 2026, as per the above resolution passed by the Board. The balance 75% is payable by the warrant holders at the time of exercise of the warrants within 18 months i.e on or before January 27, 2028 from the date of allotment. Since the warrants were allotted subsequent to the reporting date, there was no change in the paid-up equity share capital of the Holding Company as at June 30, 2026. <br /> 5. Based on the management approach as defined in IND AS 108 – Operating Segments, the Chief Operating Decision Maker (CODM) evaluates the companys performance and allocates resources based on an analysis of various indicators of business segment/s in which the company operates. The Company is primarily engaged in the business of manufacturing & selling of Steel Products, which the management and CODM recognise as the sole business segment. Hence disclosure of segment wise information is not required and accordingly not provided. <br /> 6. The figures for the quarter ended March 31, 2026 as reported in these financial results are the balancing figures between audited figures in respect of the full previous financial year and the audited year to date figures up to the third quarter period of the previous financial year. <br /> 7.
