The above unaudited consolidated financial results of the company have been reviewed by the Audit Commmittee and approved by the Board of Directors at their meetinngs held on 12.08.2024. 2. The consolidated financial results have been prepared in accordance with the Companies ( Indian Accounting Standards) Rules,2015 ( IND-AS) prescribed under Section 133 of the Companies Act,2013 read with relevant rules issued thereunder and other recognised accounting policies and practises to the extent applicable. The unaudited consolidated financial results relate to Bal Pharma Ltd , its subsidiaries ( togather constitute the group), joint ventures and associates and are prepared applying IND AS 110 Consolidated Financial Statements and INR-AS 26- Investmnet in associates and Joint ventures . 3. The group has not received any intimation or information with regards to its vendors registration as micro, small and medium enterprises and accordingly , the entire dues to the vendors has been classified as payable to other then MSME. 4. The Company has outstandinng recoverability of Rs.869.89 lakhs and Rs.152.23 lakhs fromm its subsidiaries Lifezen Healthcare Pvt Ltd and Balance Clinics LLP. The said subsidiaries have incurred losses and has negative net worth. However the management is confident that with the infusion of additional funds, introduction of new brands and renewed marketing , internal restructuring , the companies can be revieved and akount recovered. 5.The figures for the year ended 31st March 2024 are the balancing figures between the audited figures in respect of the full financial year and the unaduited published year to date figures upto the third quarter of the relevant financial year which are subjected to limited review by the statutory auditors. 6. The Board has recommended a dividend of Rs.1.20 per equity share of Rs.10 each i.e 12% which is subject to the approval of the shareholders at the ensuing AGM. 7. The Company has only one reportable segment i.e Pharmaceutacles. 8.The Company has filed application with NCLT for merger of Golden Drugs Pvt Ltd , a wholly owned subsidiary of the Company. 9. The Company has made the grant of 6,00,000 stco options to the employees of the Company during the year 2021.22,22.23 & 23.24 under Bal Pharma Ltd Employee stock option Paln 2014 . These stock options will vest in line with the scheme. 10. The previous period figures have been regrouped/rearranged wherever considered necessary to confirm to the period presentation.
