The Company vide its letter no. APL/SEC/57/2026-27/19 dated 29th July 2026 had informed you that the Board of Directors of the Company, at its meeting held on the same day, based on the recommendation of the Nomination and Remuneration Committee, had approved the appointment of Ms. Shubhlakshmi Dani (DIN: 02942138) as an Additional and Non-Executive Director of the Company, liable to retire by rotation, with immediate effect, subject to approval of the shareholders of the Company through Postal Ballot. This is to inform you that, based on the results of the Postal Ballot conducted through remote e-voting, the shareholders of the Company have approved the appointment of Ms. Shubhlakshmi Dani as a Non – Executive Director of the Company. The ordinary resolution shall be deemed to have been passed on Wednesday, 9th September 2026, being the last date specified for remote e-voting. The voting results and the Scrutinizer’s Report have been submitted separately pursuant to Regulation 44 of the Listing Regulations. The brief profile of Ms. Shubhlakshmi Dani required under Regulation 30 of the Listing Regulations was disclosed in the Company’s letter dated 29th July 2026 vide reference no. APL/SEC/57/2026-27/19 and is available on the website of the Company at www.asianpaints.com. Ms. Shubhlakshmi Dani is the spouse of Mr. Hasit Dani, former Non-Executive Director of the Company, sister-in-law of Mr. Malav Dani, Non-Executive Director of the Company and a member of the Promoter(s) Group of the Company. She is not related to any other Directors or Key Managerial Personnel of the Company. To the best of our knowledge and information and as confirmed by Ms. Shubhlakshmi Dani, she has not been debarred from holding the office as the Director of the Company, by virtue of an Order passed by SEBI or any other authority. Further, as affirmed by her, she is not disqualified from holding the office as a Director pursuant to the provisions of Section 164 of the Companies Act, 2013. Clarification for term of appointment:As Ms. Shubhlakshmi Dani (DIN: 02942138) is appointed as an Additional and Non-Executive Director of the Company, liable to retire by rotation, no fixed term has been prescribed for her appointment. Accordingly, since the field cannot be left blank, the term of appointment has been indicated as '0'. This approach has been adopted basis the communication with the stock exchanges in this regard.
