Purchase/acquisition of two Vessels (Mini Bulk Carrier barges)

• Two Mini Bulk Carrier Barges, namely M.V. Gautam BSTAR II (IMO No. 9823948, 4408.50 DWT) and M.V. Sanghi Sudarshan (IMO No. 9823936, 4402.30 DWT), classed as Indian Coastal Vessel (ICV) with the Indian Register of Shipping (IRS), have been acquired. • Aggregate purchase consideration: Rs. 55,66,05,000/- (including GST) (i.e., Rs. 27,83,02,500/- per vessel, comprising base price of Rs. 26,50,50,000/- plus GST @ 5% of Rs. 1,32,52,500/- per vessel). • 100% of the purchase consideration (inclusive of GST) has been paid through RTGS on April 27, 2026. • Delivery of the Vessels shall take place on or before May 1, 2026 at Bedi Port Anchorage, upon execution of the Protocol of Delivery and Acceptance (PODA). • Seller to issue No Objection Certificate (NOC) in favour of the Company to operate and ply the Vessels until ownership is duly transferred and registered in the name of the Company with the competent authority.
