The key rationale and expected benefits include: 1. Business Expansion: To facilitate expansion into new domestic and international markets and identify additional business opportunities. 2. Market Access: To leverage the respective business networks, market knowledge, customer base and commercial relationships of the Parties. 3. Increased Business Opportunities: To identify and develop new customers, suppliers, distributors and commercial partners for mutual benefit. 4. Operational Support: To facilitate sourcing, procurement, supply, logistics, documentation and other activities required for efficient execution of business transactions. 5. Revenue Growth: To generate additional business and revenue opportunities through coordinated marketing, trading and business development activities. 6. Resource Optimisation: To utilise the respective expertise, resources and commercial capabilities of the Parties in a mutually beneficial manner. 7. Long-Term Business Relationship: To establish a sustainable business relationship between the Parties and explore further areas of cooperation based on mutual consent. 8. Mutual Commercial Benefit: The arrangement is expected to provide commercial and strategic benefits to both Parties while enabling them to undertake mutually agreed business activities in an organised and efficient manner.i. Term- 28th September 2026-31st March 2027 ii. Volume and measurement- The Parties presently target at least 15,000 MT of shipped and invoiced ERIS-enabled transactions, with a commercial objective of up to 20,000 MT. Performance will be reviewed quarterly; the volume target creates no purchase, sale, shortfall-fee or take-or-pay obligation.falseEach Party shall comply with laws applicable to its role, including anti-bribery, anti-money laundering, merchant trading, data-protection, sanctions, customs, import-export, waste-shipment, tax, banking and foreign-exchange requirements. Al Shaheed shall provide accurate corporate, ownership, licence, tax, banking and authorised signatory documents and shall promptly notify EXIM ROUTES of any change in ownership or control. Al Shaheed warrants that goods it supplies are lawfully sourced, correctly described, non-hazardous and compliant with the importing country’s waste-import rules, and shall indemnify EXIM ROUTES against losses, penalties and re-export costs arising from any breach of this Clause 8. Each Party shall protect non-public commercial, pricing, buyer, supplier, technical and transaction information and use it only for this MOU and related transactions; disclosure is permitted to advisers, financiers, insurers, logistics providers, banks and regulators on a need-to-know basis or as required by law. Confidentiality survives for three years after termination.
