Construction and operation of Mycoprotein production infrastructure by DBO following a synergetic license-based collaboration model. Planetary shall be the technology provider and off taker of the Mycoprotein and related products and DBO shall be the manufacturer and supplier of the Mycoprotein and related products; and ii. To execute a commercialisation and offtake agreement, iii. To execute a joint venture agreement to establish a Joint Venture Company between parties to undertake commercialization and offtake of Mycoprotein in IndiaKey Obligations of Planetary: To provide licensed intellectual property and specified licensed services; engineering, launch, installation, commissioning and initial training support; maintenance and enforcement of licensed intellectual property; and agreed technical support, subject to the terms of the Agreement. Key Obligations of DBO: To use the licensed intellectual property only for the project and at the approved facility; payment of fees and royalties; compliance with confidentiality, access-control, audit, reporting and intellectual-property protection obligations; and obtaining required approvals for its performance. Term: Unless earlier terminated in accordance with the provisions of this Agreement, the agreement shall be for an initial term of 10 (ten) years from the Effective Date.
