Certain significant terms of the Agreement have been summarised below: (a) key conditions for the implementation of the Scheme, which inter alia, includes: (i) receipt of necessary approvals, such as approval of the Scheme by the NCLT, Shareholders’ and Creditors’ Approval, the Stock Exchanges, Public Shareholders’ Approval, Consents of all parties and Stock Exchange under the SEBI Merger Circular under Regulation 37 of the SEBI LODR Regulations, and (b) process involved in the scheme of arrangement.
