(As per the Company, the investments made and guarantees were given by the Company on behalf of its subsidiary with respect to the loan availed by them which were considered for consolidation in accounts. Since the guarantees were not given for any third party, there was no requirement to intimate the same to the Stock Exchanges under Listing Regulations. The details pertaining to investment were given in the respective Annual Reports but missed specific disclosure to stock exchanges. b) Non-disclosure of Income-tax Act litigations exceeding the materiality thresholds, in violation of Regulation 30(1) read with sub-paragraph 8 of Para B, Part A of Schedule III of the Listing Regulations. (As per the Company, none of the dues were material as per the then provisions of Regulation 30 of SEBI LODR.
