The consolidated interim financial results of Hexaware Technologies Limited for quarter and six months ended Jun 30, 2026 are unaudited and have been subjected to limited review by statutory auditors. However, consolidated financial results for previous periods including quarter ended Mar 31, 2026, quarter and six months ended Jun 30, 2025 and year ended Dec 31, 2025 have been subject to audit. These results have been reviewed by the Audit Committee on Jul 28, 2026 and have been approved for issue by the Board of Directors at its meeting held on Jul 29, 2026. Group recognised gain on remeasurement of contingent consideration payable towards acquisition of business amounting to INR 264 million in six months ended Jun 30, 2026 based on payment of first earnout. Group has recognised gain on remeasurement of contingent consideration payable towards acquisition of business amounting to INR 1,587 million for quarter and six months ended Jun 30, 2025 and INR 3,820 million for year ended Dec 31, 2025, based on a settlement agreement and expected payout re-assessed based on actual performance for applicable period of business acquired. Group has also re-assessed carrying value of customer relations recognised on the related acquisition and has provided for impairment loss of INR 394 million for quarter and six months ended Jun 30, 2025 and INR 1,473 million for year ended Dec 31, 2025. Impairment loss considers value of customer relations derived using discount rate of 14.2%, best estimate of forecasted revenues, cashflows from acquired business and underlying customer relations. On May 28, 2026, Hexaware Technologies UK Limited completed acquisition of 100% ownership in Consulting Professionals Services Holdings Limited together with its wholly owned subsidiary Consulting Professionals Services Limited for upfront payment of GBP 6 million and additional contingent consideration of upto GBP 5 million payable upon meeting future financial performance. Group has attributed acquisition value of GBP 11 million towards fair value of acquired customer contract. Allocation of the purchase consideration is final. Transaction cost of INR 47 million has been included in the statement of profit and loss account and shown as one time expense for quarter and six months ended Jun 30, 2026. During year ended Dec 31, 2025, Group received notice from Natsoft Corporation and Updraft LLC (“Plaintiff”), for alleged infringement of certain patents and breach of contract by Company and its material subsidiary “Hexaware Technologies Inc”. Plaintiff has claimed USD 500 million. Group had filed motion to dismiss the claim filed by Natsoft Corporation and Updraft LLC in United States District Court. During quarter, United States District Court for Northern District of Illinois has dismissed the federal patent-related infringement claims by Natsoft. Court concurred that they relate to abstract subject matter. As a result, the principal claims stand dismissed. Consequent to dismissal, Court has also declined to exercise jurisdiction over the related state law claims (including contractual and business claims), resulting in their dismissal without substantive adjudication at this stage. Court has granted the plaintiffs an opportunity to file an amended complaint within the prescribed timeline. Based on assessment, Group believes that complaint is without any merit and is unlikely to result in an adverse order and, accordingly, does not expect same to have any material financial impact on Group. For other notes, refer results submitted as part of Integral filing/Outcome of meeting. |
