NOTES TO THE UNAUDITED CONSOLIDATED FINANCIAL RESULTS FOR THE QUARTER ENDED 30 JUNE 2026 1.The Statement of Unaudited Consolidated Financial Results of Lloyds Metals and Energy Limited and its subsidiaries for the quarter ended 30 June 26 was approved by the Board of Directors at its meeting held on 10 August 26.2.The Consolidated Financial Results have been prepared in accordance with the recognition and measurement principles prescribed under Indian Accounting Standard 34 relating to Interim Financial Reporting under Section 133 of the Companies Act 13 read with the relevant rules and other generally accepted accounting principles in India.3.In accordance with Indian Accounting Standard 108 relating to Operating Segments the Group has four reportable operating segments namely Mining of Iron Ore Steel and related value added products MDO Operation and related services and Copper and related products. Segment information has been provided in accordance with Indian Accounting Standard 108.4.The Statutory Auditors have conducted a limited review of the financial results for the quarter ended 30 June 26 and have issued an unqualified report thereon.5.Under the Lloyds Metals and Energy Limited Employee Stock Option Plan 17 and Employee Stock Option Plan 24 the number of options exercisable at the beginning of the period on 1 April 26 was 184264. During the period 1220038 options were granted 415279 options vested 85013 options lapsed and 32245 options were exercised. The number of options outstanding at the end of the period on 30 June 26 was 6766112 and the number of options exercisable was 273323.6.Through warrant conversions during December 25 to March 26 the Company allotted 33695000 fully paid Equity Shares of face value 1 each to Promoters and Non Promoters. The allotments comprised 15268950 shares on 31 December 25 805500 shares on 3 February 26 and 17620550 shares on 13 March 26. The Company received 16207295000 as balance exercise price at 481 per Equity Share.7.On 30 January 26 the Company issued 60000 senior secured listed rated redeemable non convertible debentures through private placement. Each debenture had a face value of 1Lac aggregating to 600 Cr. The issue comprised a base issue of 300 Cr and a green shoe option of 300 Cr which was fully subscribed.8.During financial year 24 to 25 the Company issued 175Lacs Equity Shares of face value 1 each at 696 per Equity Share through Qualified Institutional Placement and raised 1218 Cr. Of this amount 916.13 Cr was proposed and utilised for setting up a 4 MTPA Pellet Plant at Konsari Maharashtra. 285.55 Cr was proposed for General Corporate Purposes and 16.32 Cr was proposed towards Issue Related Expenses. During the quarter ended 30 June 2026 utilisation was 916.13 Cr for the Pellet Plant 285.88 Cr for General Corporate Purposes and 15.99 Cr for Issue Related Expenses. Total utilisation was 1218 Cr with no unutilised amount. For the year ended 31 March 2026 total utilisation was 1217.67 Cr and 0.33 Cr remained unutilised. The unutilised amount was held in the ICICI Bank account and presented under Cash and Cash Equivalents as at 31 March 2026.16.Figures for the corresponding previous periods have been regrouped or reclassified wherever necessary to make them comparable.17. .9.During financial year 2024 to 2025 the Company issued preferential convertible warrants and during financial year 2025 to 2026 allotted Equity Shares on conversion of such warrants. Gross proceeds amounted to 2722.83 Cr. 714.74 Cr was allocated for expansion of the DRI Plant and Power Plant at Ghugus Chandrapur. During the quarter ended 30 June 2026 391.39 Cr was utilised and 271.12 Cr remained unutilised. For the year ended 31 March 2026 383.81 Cr was utilised and 636.90 Cr remained unutilised. 1327.38 Cr was allocated for expansion of pellet capacity through an additional 1 X 4 MTPA Pellet Plant at Konsari Ghadchiroli. During the quarter 1379.63 Cr was utilised and 1021.43 Cr remained unutilised. 680.71 Cr was allocated for General Corporate Purposes. During the quarter 680.69 Cr was utilised and 680.69 Cr remained unutilised. Total allocation was 2722.83 Cr. During the quarter 2451.71 Cr was utilised and 271.12 Cr remained unutilised. For the year ended 31 March 2026 2085.93 Cr was utilised and 636.90 Cr remained unutilised. The unutilised amount of 271.12 Cr was held in HDFC Bank and presented under Cash and Cash Equivalents. As at 31 March 2026 HDFC Bank balance was 166.71 Cr and 470.19 Cr was presented under Current Financial Assets.10.On 8 May 2026 the Company issued 75000 senior unsecured listed rated redeemable non convertible debentures through private placement. Each debenture had a face value of 100000 aggregating to 750 Cr.11.The Scheme of Amalgamation of Thriveni Pellets Private Limited with Brahmani River Pellets Private Limited was approved by the Regional Director South Eastern Region Hyderabad on 25 April 2026. The certified order was received on 2 May 2026 and filed with the Registrar of Companies on 21 May 2026. Accordingly the Effective Date was 21 May 2026 and the Appointed Date was 1 April 2025. The amalgamation was accounted for from the Appointed Date. Equity Shares were issued to eligible shareholders of Thriveni Pellets Private Limited namely Tata Steel Limited and Lloyds Metals and Energy Limited in accordance with the approved share exchange ratio. There was no change in the shareholding percentage of Lloyds Metals and Energy Limited in Brahmani River Pellets Private Limited.12.Additional information pursuant to Regulation 52 subsection 4 of the Securities and Exchange Board of India Listing Obligations and Disclosure Requirements is as follows. Debt Equity Ratio was 1.45 for 30 June 2026 1.43 for 31 March 2026 0.14 for 30 June 2025 and 1.43 for 31 March 2026. Debt Service Coverage Ratio was 0.56 0.39 1.38 and 0.94 respectively. Interest Service Coverage Ratio was 9.73 14.05 53.98 and 11.26 respectively. Current Ratio was 1.00 0.81 0.97 and 0.81 respectively. Long Term Debt to Working Capital Ratio was negative 540.52 negative 6.09 negative 11.75 and negative 6.09 respectively. Bad Debts to Accounts Receivable Ratio was 0.00 nil nil and nil respectively. Current Liability Ratio was 0.34 0.44 0.82 and 0.44 respectively. Total Debt to Asset Ratio was 0.50 0.49 0.09 and 0.49 respectively. Debtors Turnover was 11.41 days 16.12 days 13.77 days and 17.62 days respectively. Inventory Turnover was 45.60 days 214.43 days 50.98 days and 222.33 days respectively. Operating EBITA Margin was 38.26 percent 42.84 percent 32.78 percent and 37.13 percent respectively. Net Profit Margin was 23.17 percent 25.42 percent 26.34 percent and 22.37 percent respectively.13.Paid Up Equity Share Capital was 6.28 Cr as at 30 June 2026 56.28 Cr as at 31 March 2026 52.32 Cr as at 30 June 2025 and 56.28 Cr as at 31 March 2026. Other Equity excluding Redemption Reserve and Capital Redemption Reserve was 15423.44 Cr 13730.32 Cr 6885.04 Cr and 13730.32 Cr respectively. Debenture Redemption Reserve was 6.50 Cr 6.50 Cr nil and 6.50 Cr respectively. Capital Redemption Reserve was 77.79 Cr 77.79 Cr nil and 77.79 Cr respectively. Share Application Money Pending was nil for all periods.14.Outstanding Redeemable Preference Shares including those issued by subsidiary companies were 137722724 shares as at 30 June 2026 215722274 shares as at 31 March 26 nil as at 30 June 2025 and 215722274 shares as at 31 March 26.
