Textual Information(1) NOTES TO THE UNAUDITED STANDALONE FINANCIAL RESULTS FOR THE QUARTER ENDED 30 JUNE 2026 1.The Statement of Unaudited Standalone Financial Results of Lloyds Metals and Energy Limited for the quarter ended 30 June 26 has been reviewed and recommended by the Audit Committee and approved by the Board of Directors at their respective meetings held on 10 August 26. 2.The financial results have been prepared in accordance with the recognition and measurement principles prescribed under Indian Accounting Standard 34 Interim Financial Reporting under Section 133 of the Companies Act 13 read with the relevant rules and other accounting principles generally accepted in India. 3.In accordance with Indian Accounting Standard 108 Operating Segments the Company has two reportable operating segments namely Mining of Iron Ore and Steel and related value added products. 4.The Statutory Auditors have conducted a limited review of the financial results for the quarter ended 30 June 2026 and have issued an unqualified report thereon. 5.Under the Lloyds Metals and Energy Limited Employee Stock Option Plan 17 and 24 the number of options exercisable at the beginning of the period on 1 April 26 was 5752391. During the period 184264 options were granted 1220038 options vested 415279 options lapsed and 85013 options were exercised. The number of options outstanding at the end of the period on 30 June 26 was 6766112 and the number of options exercisable was 273323. 6.Through warrant conversions during December 25 to March 26 the Company allotted 33695000 Equity Shares of face value Rs 1 each fully paid up to Promoters and Non Promoters. The allotments comprised 15268950 shares on 31 December 25 805500 shares on 3 February 26 and 17620550 shares on 13 March 26. The Company received Rs 16207295000 as balance exercise price at Rs 481 per Equity Share. 7.On 30 January 26 the Company issued 60000 senior secured listed rated redeemable non convertible debentures through private placement. Each debenture has a face value of Rs 100000 and the aggregate nominal value was Rs 600 Crores comprising a base issue of Rs 300 Crores and a green shoe option of Rs 300 Crores which was fully subscribed. 8.During financial year 24 to 25 the Company issued 17500000 Equity Shares of face value Rs 1 each at Rs 696 per Equity Share through Qualified Institutional Placement and raised Rs 1218 Crores. The amount proposed for setting up a 4 MTPA Pellet Plant at Konsari Maharashtra was Rs 916.13 Crores and the amount utilised was Rs 916.13 Crores with no unutilised amount. The amount proposed for General Corporate Purposes was Rs 285.55 Crores and the amount utilised was Rs 285.88 Crores during the quarter ended 30 June 26 and Rs 285.55 Crores for the year ended 31 March 26. The amount proposed for Issue Related Expenses was Rs 16.32 Crores and the amount utilised was Rs 15.99 Crores with Rs 0.33 Crores unutilised as at 31 March 26. Total utilisation was Rs 1218 Crores for the quarter ended 30 June 26 and Rs 1217.67 Crores for the year ended 31 March 26 with Rs 0.33 Crores unutilised. The unutilised amount was lying in the ICICI Bank account and presented under Cash and Cash Equivalents as at 31 March 26.13.Previous period figures have been regrouped or reclassified wherever necessary to make them comparable.14.The results for the quarter ended 30 June 26 are available on the BSE India website at www bseindia com on the NSE India website at www nseindia com and on the Company website at www lloyds in.

During financial year 24 to 25 the Company issued preferential convertible warrants and during financial year 25 to 26 allotted Equity Shares upon conveion resulting in gross proceeds of 2722.83 Cr. An amount of 714.74 Cr was allocated for expansion of the DRI Plant and Power Plant at Ghugus Chandrapur. During the quarter ended 30 June 26 391.39 Cr was utilised and 271.12 Cr remained unutilised. For the year ended 31 March 26 383.81 Cr was utilised and 636.90 Cr remained unutilised. An amount of 1327.38 Cr was allocated for expansion of pellet capacity through an additional 1 X 4 MTPA Pellet Plant at Konsari Ghadchiroli. During the quarter 1379.63 Cr was utilised and 1021.43 Cr was unutilised. amount of 680.71 Cr was allocated for General Corporate Purposes and 680.69 Cr was utilised during the quarter with 680.69 Cr shown as unutilised. Total allocation was 2722.83 Cr and total utilisation during the qtr was 2451.71 Cr with 271.12 Cr unutilised. For the year ended 31 March 26 total utilisation was 2085.93 Cr and unutilised amount was 636.90 Cr. The unutilised amount of 271.12 Cr was lying in HDFC Bank and presented under Cash and Cash Equivalents as at 30 June 26. The corresponding amount in HDFC Bank was 166.71 Cr as at 31 March 2026 and the remaining amount was shown under Current Financial Assets. 10.On 8 May 26 the Company issued 75000 senior unsecured listed rated redeemable non convertible debentures through private placement. Each debenture has a face value of 1Lac and the aggregate nominal value was 750 Cr.11. The Scheme of Amalgamation of Thriveni Pellets Private Limited with Brahmani River Pellets Private Limited was approved by the Regional Director South Eastern Region Hyderabad by Order dated 25 April 26. The certified Order was received on 2 May 26 and filed with the Registrar of Companies on 21 May 26. The Effective Date was 21 May 26 and the Appointed Date 1 April 25. The amalgamation has been accounted for from the Appointed Date. Pursuant to the Scheme Equity Shares were issued to eligible shareholder of Thriveni Pellets Private Limited namely Tata Steel Limited and Lloyds Metals and Energy Limited in accordance with the approved share exchange ratio. There will be no change in the shareholding percentage of Lloyds Metals and Energy Limited in Brahmani River Pellets Private Limited.12. Additional information pursuant to Regulation 52 subsection 4 of the Securities and Exchange Board of India Listing Obligations and Disclosure Requirements is as follows.
