Disclosure of notes on financial results

Textual Information(1) 1. These financial results were reviewed and recommended by the Audit Committee and approved by the Board of Directors of Sundrop Brands Limited, the Parent Company or the Company, at their meetings held on August 6, 2026. 2. These results have been prepared in accordance with Indian Accounting Standards, Ind AS, prescribed under Section 133 of the Companies Act, 2013, read with the relevant rules issued thereunder and are as per Regulation 33 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015, as amended. The statutory auditors have carried out a limited review of these results for the quarter ended June 30, 2026, and have issued an unmodified report on these results. 3. The consolidated financial results include the results of the Company and its wholly owned subsidiaries i. Sundrop Foods India Private Limited, India ii. Agro Tech Foods Bangladesh Pvt Ltd., Bangladesh iii. Sundrop Foods Lanka Private Limited, Sri Lanka iv. Del Monte Foods Private Limited, India and v. Del Monte Foods India North Private Limited, India, step down wholly owned subsidiary, all entities together referred to as the Group. 4. In the context of Indian Accounting Standard Ind AS 108 Operating Segments, Foods is considered as the operating segment of the Group since the Chief Operating Decision Maker CODM reviews business performance at an overall Group level as one segment. During the quarter ended June 30, 2026, the Parent Company granted 130,367 employee stock options to eligible employees of the Parent Company and its subsidiary companies, this is in addition to 14,80,411 employee stock options granted during the year ended March 31, 2026. The exercise price of the options granted is INR 515 and INR 636 per option for grants made during the quarter ended June 30, 2026, INR 515 and INR 809 per option for grants made during the year ended March 31, 2026, depending on time-based and performance-based conditions and employee level. The Group has recognized share-based payment expense under Employee Benefits Expense in the financial results, amounting to INR 4.74 crores for the quarter ended June 30, 2026, INR 4.88 crores for the quarter ended March 31, 2026 and INR 19.25 crores for the year ended March 31, 2026. 6. On November 21, 2025, the Government of India notified the four Labour Codes, the Code on Wages, 2019, the Industrial Relations Code, 2020, the Code on Social Security, 2020, and the Occupational Safety, Health and Working Conditions Code, 2020, consolidating 29 existing labour laws. The Ministry of Labour & Employment also notified Central Rules and issued FAQs to enable assessment of the financial impact due to changes in regulations. The Group has considered restructured compensation of its employees with effect from June 1, 2026, and assessed the impact of the changes, consistent with the Labour Codes, rules and FAQs. The Group has presented such incremental impact of INR 1.55 crores under the Employee Benefits expenses line item in the standalone and consolidated statement of profit and loss for the year ended March 31, 2026. The Group continues to monitor the FAQ or clarifications from the Government on other aspects of the Labour Code and would provide appropriate accounting effect on the basis of such developments as needed. 7. During the quarter ended March 31, 2026, the Group has reassessed the classification of certain promotional expenses. Based on such assessment, amounts payable to customers towards promotional activities have been presented as a deduction from revenue. Accordingly, the Group has netted off such expenses against revenue aggregating to INR 3.47 crores for the quarter and year ended March 31, 2026 and INR 0.67 crores for the quarter ended June 30, 2026 in the standalone financial results. In the consolidated financial results corresponding amounts of INR 4.82 crores for the quarter and year ended March 31, 2026 and INR 1.19 crores for the quarter ended June 30, 2026 have been netted against revenue. The comparative figures for the quarter ended June 30, 2025 have not been reclassified as the impact of such reclassification was assessed to be immaterial. 8. The above financial results are also available at the Stock Exchange's website i.e. www.bseindia.com, www.nseindia.com and the Company's website www.sundropbrands.com. 9. The figures for the quarter ended March 31, 2026 are balancing figures between the audited figures of the full financial year ended March 31, 2026 and the published year to date figures up to third quarter ended December 31, 2025.
