Disclosure of notes on financial results

Textual Information(1) 1. ‘Revenue from operations’ includes ‘Gross Revenue from sale of products and services’ and ‘Other operating revenue’. 2. ‘Purchase of stock-in-trade’ should be read as ‘Purchase of Stock-in-Trade and Biological Assets’. 3. ‘Changes in inventories of finished goods, work-in-progress and stock-in-trade’ should be read as ‘Changes in inventories of finished goods, Stock-in-Trade, work-in-progress, intermediates and Biological Assets’. 4. ‘Depreciation, depletion and amortisation expense’ should be read as ‘Depreciation and amortization expense’. NOTES TO STATEMENT OF UNAUDITED CONSOLIDATED FINANCIAL RESULTS FOR THE QUARTER ENDED 30.06.2026 1. The unaudited Consolidated Financial Results and Segment Results were reviewed by the Audit Committee, and approved by the Board of Directors of the Company at its meeting held on 31st July, 2026. 2. The continuing significant brand building costs covering a range of personal care and branded packaged food products are reflected under 'Other expenses' stated above and in Segment Results under 'FMCG-Others'. 3. The Group on 19th May, 2026 acquired 1,681 Equity Shares of Rs. 10/- each of Mother Sparsh Baby Care Private Limited (‘Mother Sparsh’), an associate company, consequent to which the Group’s shareholding in Mother Sparsh aggregated 49.32% of its share capital on a fully diluted basis. 4. Sproutlife Foods Private Limited (‘Sproutlife’) became a subsidiary of the Company with effect from 1st April, 2026, consequent to the Company acquiring the right to nominate majority of Directors on its Board. In accordance with Ind AS 103 - Business Combinations, the Group has re-measured its existing interest in Sproutlife at fair value and has recognised the re-measurement gain of Rs. 405.88 crores as ‘Exceptional Items’. The fair values of assets and liabilities of Sproutlife have been provisionally determined and recorded in accordance with Ind AS 103 - Business Combinations and have been reflected in ‘FMCG – Others’ segment. Accordingly, financial results of the Group and ‘FMCG-Others’ segment for the quarter ended 30th June, 2026 include those of Sproutlife from 1st April, 2026 and hence are not comparable with previous periods. 5. Consequent to expiry of the GST Compensation Cess, the Government of India increased GST and Central Excise duty on cigarettes with effect from 1st February, 2026. In accordance with Ind AS 115 - Revenue from Contracts with Customers and Schedule III to the Companies Act, 2013, GST and GST Compensation Cess are excluded from Gross Revenue from sale of products, whereas Excise duty is not excluded. Consequently, Gross Revenue from sale of products and services and Excise duty for the quarters ended 30th June, 2026 and 31st March, 2026 reflects the impact of sharp increase in Excise duty and are not strictly comparable with those of the previous periods. 6. This statement is as per Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
