Disclosure of notes on composition of committees explanatory .The Board composition was altered on 24th November 2025 owing to the sudden demise of Mr. P S Raghavan. Consequent to his demise, the following Committees of the Board in which he was serving as Member / Chairman also underwent composition change which was aligned with the requirements of Regulations 18, 19, 20 and 21 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015 by the Board at its meeting held on 04th March 2026: 1. Textual Information(1) As at 31st March 2026, the Company has two material subsidiaries i.e., CUMI International Limited, Cyprus and Volzhsky Abrasive Works, Russia. As per the US Department of States press release dated 10th January 2025, a set of Russian companies in the manufacturing sector which included VAW were added to the US Department of Treasurys Office of Foreign Assets Control (OFAC)s Specially Designated Nationals and Blocked Persons List (SDN list), for operating or having operated in the manufacturing sector of the Russian Federation economy. In view of VAW being included in the SDN list and to mitigate any risk of a secondary sanction, the Directors representing the Company, including the Independent Director nominated for compliance of Reg.24(1) of the SEBI (Listing Obligations and Disclosure) Requirements, 2015, stepped down from the Board of VAW on 4th February 2025. During the year, the Company had applied to SEBI seeking a relaxation from imposing the requirement for nominating an Independent Director of the Company on the Board of VAW until it remains in the SDN list of OFAC or until it is a material subsidiary of the Company whichever is earlier. Currently, an exemption has been granted by SEBI from this requirement only with respect to VAW considering the inability to appoint a Director owing to geo-political reasons.
